Artikel 1 - Defenities
1. GraceWu Nails: GraceWu Nails, gevestigd te Eindhoven, KvK-nummer 93585306. 2. Klant: degene met wie GraceWu Nails een overeenkomst is aangegaan.
3. Partijen: GraceWu Nails en Klant samen.
4. Consument: een Klant die tevens een individu is en die als privépersoon handelt.
Artikel 2 - Toepasselijkheid
1. Deze voorwaarden zijn van toepassing op alle offertes, aanbiedingen, werkzaamheden, bestellingen, overeenkomsten en leveringen van diensten of producten door of namens GraceWu Nails.
2. GraceWu Nails en de Klant kunnen alleen afwijken van deze voorwaarden als dat schriftelijk is afgesproken.
3. GraceWu Nails en de Klant sluiten de toepasselijkheid van de algemene voorwaarden van de Klant of van
anderen uitdrukkelijk uit.
Artikel 3 - Prijzen
1. GraceWu Nails hanteert prijzen in euro’s, inclusief btw en exclusief eventuele overige kosten zoals administratie- of verzendkosten, tenzij schriftelijk anders is afgesproken.
2. GraceWu Nails mag de prijzen van zijn diensten en producten op zijn website en in andere uitingen altijd wijzigen.
3. Verhogingen van de kostprijzen van producten of onderdelen daarvan, die GraceWu Nails niet kon voorzien ten
tijde van het doen van de aanbieding of het tot stand komen van de overeenkomst, kunnen aanleiding geven tot
prijsverhogingen.
4. De consument heeft het recht om een overeenkomst ongedaan te maken vanwege een prijsverhoging in lid 3, tenzij
de verhoging het gevolg is van een wettelijke regeling.
Artikel 4 - Monsters en modellen
1. Wanneer de Klant een monster of model van een product heeft ontvangen, dan kan hij daaraan geen andere rechten ontlenen dan dat het een aanduiding is van de aard van het product, tenzij schriftelijk is afgesproken dat de te leveren producten met het monster of model overeenstemmen.
Artikel 5 - Betalingen en betalingstermijn
1. GraceWu Nails mag bij het aangaan van de overeenkomst een aanbetaling tot 50% van het afgesproken bedrag verlangen.
2. De Klant moet een betaling achteraf binnen 7 dagen na levering hebben voldaan.
3. De betalingstermijnen die GraceWu Nails hanteert, zijn fatale betalingstermijnen. Dat betekent dat indien de Klant
het afgesproken bedrag niet uiterlijk op de laatste dag van de betalingstermijn heeft betaald, hij automatisch in verzuim en in gebreke is, zonder dat GraceWu Nails aan de Klant een aanmaning hoeft te sturen of in gebreke hoeft te stellen.
4. GraceWu Nails mag een levering afhankelijk stellen van onmiddellijke betaling dan wel een zekerheidstelling eisen voor het totale bedrag van de diensten of producten.
Artikel 6 - Recht van reclame
1. Wanneer de Klant in verzuim is, mag GraceWu Nails het recht van reclame inroepen ten aanzien van de onbetaalde aan de Klant geleverde producten.

2. GraceWu Nails maakt gebruik van zijn recht van reclame door een schriftelijke of elektronische mededeling aan de Klant.
3. Zodra de Klant op de hoogte is gesteld van het ingeroepen recht van reclame, moet de Klant de betreffende producten onmiddellijk retourneren aan GraceWu Nails, tenzij schriftelijk anders is afgesproken.
4. De Klant betaalt de kosten voor het terughalen of -brengen van de producten in lid 3.
Artikel 7 - Herroepingsrecht
1. Een consument mag een online aankoop binnen 14 dagen na aankoop zonder opgave van reden ongedaan maken. Dit herroepingsrecht geldt niet wanneer:
het product is gebruikt
het een product is dat snel kan bederven, zoals voedsel of bloemen
het een product is dat speciaal voor de consument op maat is gemaakt of aangepast
het een product is dat niet kan worden teruggestuurd om hygiënische redenen, zoals ondergoed of badkleding de verzegeling niet intact is, wanneer het gaat om gegevensdragers met digitale inhoud, zoals dvd’s of cd’s het product of dienst logies, een reis, een restaurantbedrijf, vervoer, een cateringopdracht of een vorm van vrijetijdsbesteding betreft
het product een los tijdschrift of losse krant is
de consument heeft afgezien van zijn herroepingsrecht
2. De bedenktijd van 14 dagen in lid 1, begint:
op de dag nadat de consument het laatste product of onderdeel heeft ontvangen van 1 bestelling zodra de consument bevestigd heeft dat hij digitale inhoud via internet gaat afnemen
3. De consument kan gebruik maken van zijn bedenktijd door een mail met dat onderwerp te sturen naar info@gracewunails.com, eventueel met behulp van het herroepingsformulier dat beschikbaar is op de website van GraceWu Nails, www.gracewunails.com.
4. De consument moet het product binnen 14 dagen na het kenbaar maken van zijn herroepingsrecht terugsturen naar GraceWu Nails, bij gebreke waarvan zijn herroepingsrecht komt te vervallen.
Artikel 8 - Vergoeding van bezorgkosten
1. Wanneer de consument op tijd zijn aankoop heeft herroepen en op tijd de volledige bestelling naar GraceWu Nails heeft geretourneerd, dan zal GraceWu Nails eventuele door de consument betaalde verzendkosten binnen 14 dagen
na ontvangst van de tijdig volledig geretourneerde bestelling aan de consument terugbetalen.
2. De kosten voor bezorgen komen slechts voor rekening van GraceWu Nails voor zover de volledige bestelling wordt
geretourneerd.
Artikel 9 - Vergoeding retourkosten
1. Indien de consument een beroep doet op zijn herroepingsrecht en de volledige bestelling op tijd retourneert, dan betaalt de Klant de kosten daarvoor.
Artikel 10 - Retentierecht
1. GraceWu Nails kan gebruikmaken van zijn retentierecht en in dat geval producten van de Klant bij zich houden, totdat de Klant alle nog openstaande rekeningen van GraceWu Nails heeft betaald, tenzij de Klant voor die kosten voldoende zekerheid heeft gesteld.
2. Het retentierecht geldt ook op grond van eerdere overeenkomsten waardoor de Klant nog geld moet betalen aan GraceWu Nails.
3. GraceWu Nails is niet aansprakelijk voor eventuele schade die de Klant lijdt vanwege het gebruik van zijn retentierecht.
Artikel 11 - Eigendomsvoorbehoud
1. GraceWu Nails blijft eigenaar van alle geleverde producten totdat de Klant alle openstaande facturen van GraceWu Nails met betrekking tot een onderliggende overeenkomst heeft betaald, inclusief vorderingen vanwege het tekortschieten in de nakoming.
2. Tot die tijd in lid 1 kan GraceWu Nails gebruikmaken van zijn eigendomsvoorbehoud en de zaken terugnemen.
3. Voordat het eigendom is overgegaan op de Klant, mag de Klant de producten niet verpanden, verkopen,
vervreemden of op een andere manier bezwaren.
4. Wanneer GraceWu Nails gebruik maakt van zijn eigendomsvoorbehoud, dan wordt daarmee de overeenkomst
ongedaan gemaakt en mag GraceWu Nails van de Klant schadevergoeding, gederfde winst en rente eisen.
Artikel 12 - Levering
1. Levering vindt plaats zolang de voorraad strekt.
2. Levering vindt plaats bij GraceWu Nails, tenzij anders wordt afgesproken.
3. Levering van online bestelde producten vindt plaats op het door de Klant aangegeven adres.
4. Wanneer de Klant de afgesproken bedragen niet of niet op tijd betaalt, mag GraceWu Nails zijn verplichtingen
opschorten totdat de Klant betaalt.
5. Bij te late betaling is er sprake van schuldeisersverzuim, waardoor de Klant een verlate levering niet aan GraceWu
Nails kan tegenwerpen.
Artikel 13 - Levertijd
1. De levertijden van GraceWu Nails zijn indicatief. Indien later wordt geleverd, kan de Klant hieraan geen rechten ontlenen, tenzij schriftelijk anders wordt afgesproken.
2. De levertijd gaat in wanneer de Klant het bestelproces volledig heeft afgerond en daarvan een bevestiging heeft gekregen van GraceWu Nails.
3. De Klant krijgt geen schadevergoeding en mag de overeenkomst niet ongedaan maken wanneer GraceWu Nails later levert dan is afgesproken. De Klant mag de overeenkomst wel ongedaan maken wanneer dat schriftelijk is
afgesproken of wanneer GraceWu Nails niet binnen 14 dagen kan leveren, na daartoe schriftelijk te zijn aangemaand of de Klant en GraceWu Nails iets anders hebben afgesproken.
Artikel 14 - Feitelijke levering
1. De Klant moet ervoor zorgen dat de feitelijke levering van zijn bestelde producten op tijd kan plaatsvinden.
Artikel 15 - Transportkosten
1. De Klant betaalt de kosten voor transport, tenzij de Klant en GraceWu Nails schriftelijk iets anders hebben afgesproken.
Artikel 16 - Verpakking en verzending
1. Wanneer de verpakking van een geleverd product geopend of beschadigd is, dan moet de Klant hiervan door de vervoerder een aantekening op laten maken voordat hij het product in ontvangst neemt. Doet de Klant dit niet, dan kan hij GraceWu Nails niet aansprakelijk stellen voor eventuele schade.
2. Wanneer de Klant zelf het transport van een product regelt, moet hij eventuele zichtbare beschadigingen aan producten of de verpakking voorafgaand aan het vervoer melden aan GraceWu Nails. Doet de Klant dit niet, dan kan hij GraceWu Nails niet aansprakelijk stellen voor eventuele schade.
Artikel 17 - Bewaring
1. Wanneer de Klant bestelde producten pas later afneemt dan de afgesproken leveringsdatum, is het risico van een eventueel kwaliteitsverlies geheel voor de Klant.

2. Eventuele extra kosten als gevolg van voortijdige dan wel verlate afname van producten komen geheel voor rekening van de Klant.
Artikel 18 - Garantie
1. De garantie op producten geldt alleen voor defecten die zijn veroorzaakt door een ondeugdelijke fabricage of constructie of ondeugdelijk materiaal.
2. De garantie geldt niet:
- in het geval van normale slijtage
- voor schade ontstaan door ongevallen
- voor schade ontstaan door aangebrachte wijzigingen aan het product
- voor schade door nalatigheid of ondeskundig gebruik door de Klant
- wanneer de oorzaak van het defect niet duidelijk kan worden vastgesteld
3. Het risico van verlies, beschadiging of diefstal van de producten die het voorwerp zijn van een overeenkomst tussen partijen, gaat over op de Klant op het moment waarop deze juridisch en/of feitelijk worden geleverd, althans in de macht van de Klant komen of van een derde die het product ten behoeve van de Klant in ontvangst neemt.
Artikel 19 - Ruilen
1. De Klant mag een gekocht artikel ruilen. Hierbij gelden de volgende voorwaarden:
ruilen vindt plaats binnen 14 dagen na aankoop waarbij de Klant de originele factuur kan laten zien
het product wordt teruggebracht in de originele verpakking en met het aangehechte originele prijskaartje het product is nog niet gebruikt
2. Afgeprijsde artikelen, bederfelijke producten, op maat gemaakte artikelen of speciaal voor de Klant aangepaste artikelen en Gebruikte producten kunnen niet worden geruild.
Artikel 20 - Vrijwaring
1. De Klant vrijwaart GraceWu Nails tegen alle aanspraken van anderen die verband houden met de door GraceWu Nails geleverde producten en/of diensten.
Artikel 21 - Klachten
1. De Klant moet een door GraceWu Nails geleverd product of verleende dienst zo snel mogelijk onderzoeken op eventuele tekortkomingen.
2. Beantwoordt een geleverd product of verleende dienst niet aan dat wat de Klant redelijkerwijs mocht verwachten, dan moet de Klant GraceWu Nails daarvan op de hoogte te stellen binnen 1 maand na het vaststellen van de tekortkoming.
3. Een consument moet uiterlijk binnen 2 maanden na het vaststellen van de tekortkoming GraceWu Nails hiervan op de hoogte stellen.
4. De Klant geeft daarbij een zo gedetailleerd mogelijke omschrijving van de tekort-koming, zodat GraceWu Nails hierop gepast kan reageren.
5. De Klant moet aantonen dat de klacht betrekking heeft op een overeenkomst tussen de Klant en GraceWu Nails.
6. Wanneer een klacht gaat over lopende werkzaamheden, dan kan de Klant niet eisen dat GraceWu Nails andere
werkzaamheden gaat verrichten dan is afgesproken.
Artikel 22 - Ingebrekestelling
1. De Klant moet een eventuele ingebrekestelling schriftelijk kenbaar maken aan GraceWu Nails.
2. De Klant is ervoor verantwoordelijk dat zijn ingebrekestelling GraceWu Nails ook daadwerkelijk op tijd bereikt.
Artikel 23 - Aansprakelijkheid Klant
1. Wanneer GraceWu Nails een overeenkomst aangaat met meerdere Klanten, is ieder van hen hoofdelijk aansprakelijk voor het nakomen van de afspraken in die overeenkomst.
Artikel 24 - Aansprakelijkheid GraceWu Nails
1. GraceWu Nails is alleen aansprakelijk voor schade die de Klant lijdt wanneer die schade is veroorzaakt door opzet of bewuste roekeloosheid.
2. Wanneer GraceWu Nails aansprakelijk is voor schade, dan geldt dat alleen voor directe schade die verband houdt met de uitvoering van een onderliggende overeenkomst.
3. GraceWu Nails is niet aansprakelijk voor indirecte schade, zoals gevolgschade, gederfde winst of schade aan derden.
4. Wanneer GraceWu Nails aansprakelijk is, is deze aansprakelijkheid beperkt tot het bedrag dat door een gesloten
(beroeps)aansprakelijkheidsverzekering wordt uitbetaald. Is er geen verzekering gesloten of wordt geen schadebedrag uitgekeerd, dan is de aansprakelijkheid beperkt tot het (gedeelte van het) factuurbedrag waarop de aansprakelijkheid betrekking heeft.
5. Alle afbeeldingen, foto’s, kleuren, tekeningen, omschrijvingen op de website of in een catalogus zijn slechts indicatief en kunnen niet leiden tot enige vergoeding, ontbinding of opschorting.
Artikel 25 - Vervaltermijn
1. Elk recht van de Klant op schadevergoeding van GraceWu Nails vervalt 12 maanden na de gebeurtenis waaruit de aansprakelijkheid direct of indirect voortvloeit. Hiermee wordt niet uitgesloten het bepaalde in artikel 6:89 BW.
Artikel 26 - Ontbinding
1. De Klant mag de overeenkomst ongedaan maken wanneer GraceWu Nails toerekenbaar tekortschiet in de nakoming van zijn verplichtingen, tenzij deze tekortkoming de ontbinding niet rechtvaardigt vanwege haar bijzondere aard of geringe betekenis.
2. Is de nakoming van de verplichtingen door GraceWu Nails nog mogelijk, dan kan ontbinding pas plaatsvinden nadat GraceWu Nails in verzuim is.
3. GraceWu Nails mag de overeenkomst met de Klant ongedaan maken, wanneer de Klant zijn verplichtingen uit de overeenkomst niet volledig of niet tijdig nakomt, dan wel wanneer GraceWu Nails kennis heeft genomen van omstandigheden die hem goede grond geven om aan te nemen dat de Klant zijn verplichtingen niet zal nakomen.
Artikel 27 - Overmacht
1. In aanvulling op artikel 6:75 BW geldt dat een tekortkoming van GraceWu Nails door de Klant niet aan GraceWu Nails kan worden toegerekend wanneer er sprake is van overmacht.
2. Onder de overmachtsituatie in lid 1 valt onder meer ook:
- een noodtoestand zoals een burgeroorlog of natuurramp
- wanprestatie of overmacht van toeleveranciers, bezorgers of anderen - stroom-, elektriciteits- internet-, computer- of telecomstoringen
- computer-virussen
- stakingen
- overheidsmaatregelen
- vervoersproblemen
- slechte weersomstandigheden
- werkonderbrekingen
3. Wanneer zich een overmachtsituatie voordoet waardoor GraceWu Nails 1 of meer verplichtingen naar de Klant niet kan nakomen, dan worden die verplichtingen opgeschort totdat GraceWu Nails kan nakomen.
4. Vanaf het moment dat een overmachtsituatie ten minste 30 kalenderdagen heeft geduurd, mogen zowel de Klant als GraceWu Nails de overeenkomst schriftelijk in zijn geheel of deels ongedaan maken.
5. GraceWu Nails hoeft in een overmachtsituatie geen vergoeding aan de Klant te betalen, ook niet wanneer GraceWu Nails hiervan voordeel heeft.
Artikel 28 - Wijziging overeenkomst
1. Wanneer het voor de uitvoering ervan nodig is om een gesloten overeenkomst te wijzigen, kunnen de Klant en GraceWu Nails de overeenkomst aanpassen.
Artikel 29 - Wijziging algemene voorwaarden
1. GraceWu Nails mag deze algemene voorwaarden wijzigen.
2. Wijzigingen van ondergeschikt belang mag GraceWu Nails altijd doorvoeren.
3. Ingrijpende wijzigingen zal GraceWu Nails zoveel mogelijk vooraf met de Klant bespreken.
4. Een consument mag bij een ingrijpende wijziging van de algemene voorwaarden de onderliggende overeenkomst
opzeggen.
Artikel 30 - Overgang van rechten
1. De Klant kan geen rechten uit een overeenkomst met GraceWu Nails aan anderen overdragen zonder schriftelijke toestemming van GraceWu Nails.
2. Deze bepaling geldt als een beding met goederenrechtelijke werking zoals in artikel 3:83 lid 2 BW.
Artikel 31 - Gevolgen nietigheid of vernietigbaarheid
1. Wanneer 1 of meerdere bepalingen van deze algemene voorwaarden nietig of vernietigbaar blijken, dan heeft dit geen invloed op de overige bepalingen van deze voorwaarden.
2. Een bepaling die nietig of vernietigbaar is, wordt in dat geval vervangen door een bepaling die het dichtst in de buurt komt van wat GraceWu Nails bij het opstellen van de voorwaarden op dat punt voor ogen had.
Artikel 32 - Toepasselijk recht en bevoegde rechter
1. Op deze algemene voorwaarden en iedere onderliggende overeenkomst tussen de Klant en GraceWu Nails is Nederlands recht van toepassing.
2. De rechter in het arrondissement van de vestigingsplaats van GraceWu Nails is exclusief bevoegd om kennis te nemen van eventuele geschillen tussen de Klant en GraceWu Nails, tenzij de wet iets anders bepaalt.

#### Article 1 - Definitions
1. **GraceWu Nails:** GraceWu Nails, located in Eindhoven, Chamber of Commerce number 93585306.
2. **Customer:** the party with whom GraceWu Nails has entered into an agreement.
3. **Parties:** GraceWu Nails and the Customer together.
4. **Consumer:** a Customer who is also an individual and acts as a private person.
#### Article 2 - Applicability
1. These terms and conditions apply to all offers, quotations, activities, orders, agreements, and deliveries of services or products by or on behalf of GraceWu Nails.
2. GraceWu Nails and the Customer can only deviate from these terms if agreed in writing.
3. GraceWu Nails and the Customer expressly exclude the applicability of the Customer's or others' general terms and conditions.
#### Article 3 - Prices
1. GraceWu Nails uses prices in euros, including VAT and excluding any other costs such as administration or shipping costs, unless otherwise agreed in writing.
2. GraceWu Nails may always change the prices of its services and products on its website and in other communications.
3. Increases in the cost prices of products or parts thereof, which GraceWu Nails could not foresee at the time of the offer or the conclusion of the agreement, may give rise to price increases.
4. The consumer has the right to cancel an agreement due to a price increase in paragraph 3, unless the increase is due to a statutory regulation.
#### Article 4 - Samples and Models
1. If the Customer has received a sample or model of a product, they cannot derive any rights from it other than that it is an indication of the nature of the product, unless it is agreed in writing that the delivered products will correspond with the sample or model.
#### Article 5 - Payments and Payment Term
1. GraceWu Nails may require a deposit of up to 50% of the agreed amount upon entering into the agreement.
2. The Customer must pay an invoice within 7 days after delivery.
3. The payment terms used by GraceWu Nails are strict deadlines. This means that if the Customer has not paid the agreed amount by the last day of the payment term, they are automatically in default, without GraceWu Nails needing to send a reminder or notice of default.
4. GraceWu Nails may require immediate payment or a security deposit for the total amount of the services or products before delivering.
#### Article 6 - Right of Reclamation
1. If the Customer is in default, GraceWu Nails may invoke the right of reclamation regarding the unpaid products delivered to the Customer.
2. GraceWu Nails exercises its right of reclamation by a written or electronic communication to the Customer.
3. Once the Customer has been notified of the invoked right of reclamation, the Customer must immediately return the relevant products to GraceWu Nails, unless otherwise agreed in writing.
4. The Customer pays the costs for returning or bringing back the products in paragraph 3.
#### Article 7 - Right of Withdrawal
1. A consumer may cancel an online purchase within 14 days without giving any reason. This right of withdrawal does not apply if:
- the product has been used
- the product can spoil quickly, such as food or flowers
- the product is custom-made or tailored for the consumer
- the product cannot be returned for hygiene reasons, such as underwear or swimwear, if the seal is not intact when it concerns data carriers with digital content, such as DVDs or CDs
- the product or service concerns accommodation, a trip, a restaurant business, transport, a catering order, or a form of leisure
- the product is a single issue of a magazine or newspaper
- the consumer has waived their right of withdrawal
2. The 14-day cooling-off period in paragraph 1 starts:
- on the day after the consumer has received the last product or part of one order
- as soon as the consumer has confirmed that they will receive digital content via the internet
3. The consumer can use their cooling-off period by sending an email with this subject to info@gracewunails.com, possibly using the withdrawal form available on the GraceWu Nails website, www.gracewunails.com.
4. The consumer must return the product to GraceWu Nails within 14 days after notifying their right of withdrawal, failing which their right of withdrawal expires.
#### Article 8 - Reimbursement of Delivery Costs
1. If the consumer has timely withdrawn their purchase and returned the entire order to GraceWu Nails on time, GraceWu Nails will refund any shipping costs paid by the consumer within 14 days of receiving the timely and fully returned order.
2. Shipping costs are only borne by GraceWu Nails if the entire order is returned.
#### Article 9 - Reimbursement of Return Costs
1. If the consumer invokes their right of withdrawal and returns the entire order on time, the Customer bears the costs for the return.
#### Article 10 - Right of Retention
1. GraceWu Nails can exercise its right of retention and keep the Customer's products until the Customer has paid all outstanding invoices of GraceWu Nails, unless the Customer has provided sufficient security for those costs.
2. The right of retention also applies on the grounds of previous agreements whereby the Customer still owes money to GraceWu Nails.
3. GraceWu Nails is not liable for any damage the Customer may suffer due to the exercise of its right of retention.
#### Article 11 - Retention of Title
1. GraceWu Nails remains the owner of all delivered products until the Customer has paid all outstanding invoices of GraceWu Nails concerning an underlying agreement, including claims due to non-performance.
2. Until the time mentioned in paragraph 1, GraceWu Nails can invoke its retention of title and take back the goods.
3. Before the ownership has passed to the Customer, the Customer may not pledge, sell, dispose of, or otherwise encumber the products.
4. When GraceWu Nails invokes its retention of title, the agreement is thereby dissolved, and GraceWu Nails may claim compensation, lost profits, and interest from the Customer.
#### Article 12 - Delivery
1. Delivery takes place while stocks last.
2. Delivery takes place at GraceWu Nails unless otherwise agreed.
3. Delivery of online-ordered products takes place at the address specified by the Customer.
4. If the Customer does not pay the agreed amounts or does not pay them on time, GraceWu Nails may suspend its obligations until the Customer has paid.
5. In the event of late payment, the Customer cannot hold GraceWu Nails liable for any delay in delivery.
#### Article 13 - Delivery Time
1. The delivery times of GraceWu Nails are indicative. If delivery is later, the Customer cannot derive any rights from this, unless otherwise agreed in writing.
2. The delivery time starts when the Customer has completed the order process and received a confirmation from GraceWu Nails.
3. The Customer is not entitled to compensation and cannot dissolve the agreement if GraceWu Nails delivers later than agreed. The Customer can dissolve the agreement if this is agreed in writing or if GraceWu Nails cannot deliver within 14 days after being notified in writing or if the Customer and GraceWu Nails have agreed otherwise.
#### Article 14 - Actual Delivery
1. The Customer must ensure that the actual delivery of their ordered products can take place on time.
#### Article 15 - Transport Costs
1. The Customer pays the costs for transport unless otherwise agreed in writing between the Customer and GraceWu Nails.
#### Article 16 - Packaging and Shipping
1. If the packaging of a delivered product is opened or damaged, the Customer must have the carrier make a note of this before receiving the product. If the Customer fails to do this, they cannot hold GraceWu Nails liable for any damage.
2. If the Customer arranges for the transport of a product themselves, they must report any visible damage to products or packaging to GraceWu Nails before transport. If the Customer fails to do this, they cannot hold GraceWu Nails liable for any damage.
#### Article 17 - Storage
1. If the Customer takes delivery of ordered products later than the agreed delivery date, the risk of any quality loss is entirely for the Customer.
2. Any extra costs resulting from early or late acceptance of products are entirely for the Customer's account.
#### Article 18 - Warranty
1. The warranty on products only applies to defects caused by faulty manufacture or construction or defective materials.
2. The warranty does not apply:
- in case of normal wear and tear
- for damage caused by accidents
- for damage caused by changes made to the product
- for damage due to negligence or improper use by the Customer
- when the cause of the defect cannot be clearly determined
3. The risk of loss, damage, or theft of the products that are the subject of an agreement between the parties passes to the Customer at the moment they are legally and/or actually delivered, or in any case come into the possession of the Customer or a third party who receives the product on behalf of the Customer.
#### Article 19 - Exchanges
1. The Customer may exchange a purchased item. The following conditions apply:
- exchanges take place within 14 days of purchase, and the Customer can present the original invoice
- the product is returned in the original packaging and with the original price tag attached
- the product has not been used
2. Discounted items, perishable products, custom-made items, or items specially adapted for the Customer and used products cannot be exchanged.
#### Article 20 - Indemnification
1. The Customer indemnifies GraceWu Nails against all claims from others relating to the products and/or services delivered by GraceWu Nails.
#### Article 21 - Complaints
1. The Customer must examine a product or service provided by
GraceWu Nails as soon as possible for any shortcomings.
2. If a delivered product or service does not meet what the Customer reasonably expected, the Customer must notify GraceWu Nails within one month of discovering the shortcoming.
3. A consumer must notify GraceWu Nails of the shortcoming no later than two months after discovering it.
4. The Customer provides as detailed a description of the shortcoming as possible, allowing GraceWu Nails to respond adequately.
5. The Customer must demonstrate that the complaint relates to an agreement between the Customer and GraceWu Nails.
6. If a complaint relates to ongoing work, the Customer cannot demand that GraceWu Nails perform other work than agreed.
#### Article 22 - Notice of Default
1. The Customer must make any notice of default known to GraceWu Nails in writing.
2. The Customer is responsible for ensuring that their notice of default reaches GraceWu Nails in a timely manner.
#### Article 23 - Liability of the Customer
1. When GraceWu Nails enters into an agreement with multiple Customers, each of them is jointly and severally liable for fulfilling the obligations in that agreement.
#### Article 24 - Liability of GraceWu Nails
1. GraceWu Nails is only liable for damages suffered by the Customer if those damages are caused by intent or deliberate recklessness.
2. If GraceWu Nails is liable for damages, this only applies to direct damages related to the execution of the underlying agreement.
3. GraceWu Nails is not liable for indirect damages, such as consequential damage, lost profit, or damage to third parties.
4. If GraceWu Nails is liable, this liability is limited to the amount paid out by a closed (professional) liability insurance. If no insurance is closed or no insurance amount is paid out, the liability is limited to the (part of the) invoice amount to which the liability relates.
5. All images, photos, colors, drawings, descriptions on the website, or in a catalog are indicative and cannot lead to any compensation, dissolution, or suspension.
#### Article 25 - Limitation Period
1. Any right of the Customer to compensation from GraceWu Nails expires 12 months after the event from which the liability directly or indirectly arises. This does not exclude the provisions of Article 6:89 of the Dutch Civil Code.
#### Article 26 - Dissolution
1. The Customer may dissolve the agreement if GraceWu Nails fails attributably in the fulfillment of its obligations, unless this shortcoming does not justify the dissolution due to its special nature or minor significance.
2. If the fulfillment of the obligations by GraceWu Nails is still possible, dissolution can only take place after GraceWu Nails is in default.
3. GraceWu Nails may dissolve the agreement with the Customer if the Customer does not fully or timely fulfill its obligations under the agreement, or if GraceWu Nails has become aware of circumstances that give it good reason to fear that the Customer will not fulfill its obligations.
#### Article 27 - Force Majeure
1. In addition to the provisions of Article 6:75 of the Dutch Civil Code, a shortcoming of GraceWu Nails in the fulfillment of any obligation to the Customer cannot be attributed to GraceWu Nails in a situation independent of the will of GraceWu Nails, making the fulfillment of its obligations to the Customer wholly or partially impossible or as a result of which the fulfillment of its obligations cannot reasonably be required from GraceWu Nails.
2. The force majeure situation referred to in paragraph 1 also includes - but is not limited to:
- a state of emergency such as civil war or natural disaster
- failure or force majeure on the part of suppliers, delivery persons, or other third parties
- disturbances in electricity, internet, computer or telecommunication services
- computer viruses
- strikes
- government measures
- transport problems
- bad weather conditions
- work stoppages
3. If a force majeure situation occurs making it impossible for GraceWu Nails to fulfill one or more obligations to the Customer, those obligations will be suspended until GraceWu Nails can fulfill them.
4. From the moment that a force majeure situation has lasted at least 30 calendar days, both parties may dissolve the agreement in writing, in whole or in part.
5. GraceWu Nails does not owe any compensation or reimbursement in a force majeure situation, even if it benefits from it.
#### Article 28 - Modification of the Agreement
1. If it is necessary to modify an agreement for its execution, the Customer and GraceWu Nails can adjust the agreement.
#### Article 29 - Modification of General Terms and Conditions
1. GraceWu Nails may change these general terms and conditions.
2. Minor changes can be made by GraceWu Nails at any time.
3. Major changes will be discussed with the Customer as much as possible in advance.
4. A consumer may cancel the underlying agreement in the event of a major change to the general terms and conditions.
#### Article 30 - Transfer of Rights
1. The Customer cannot transfer any rights from an agreement with GraceWu Nails to others without the written consent of GraceWu Nails.
2. This provision applies as a clause with property law effect as described in Article 3:83(2) of the Dutch Civil Code.
#### Article 31 - Consequences of Nullity or Annulability
1. If one or more provisions of these general terms and conditions prove to be void or voidable, this does not affect the validity of the other provisions.
2. A void or voided provision will be replaced by a provision that comes closest to what GraceWu Nails had in mind when drafting the terms and conditions on that point.
#### Article 32 - Applicable Law and Competent Court
1. These general terms and conditions and any underlying agreement between the Customer and GraceWu Nails are governed by Dutch law.
2. The court in the district where GraceWu Nails is established has exclusive jurisdiction to hear any disputes between the Customer and GraceWu Nails, unless the law prescribes otherwise.
